TICKET TERMS AND CONDITIONS:

* All ticket sales will be subject to a 16% processing fee on the face value of each ticket, a 3% credit card transaction fee on the total transaction plus $0.30 per ticket, and 9% LET Tax, if applicable, on the face value of each ticket plus 8% of the processing fee.

* All gratuities, incidental expenses, fees or charges, and other expenses, including, but not limited to, gambling, food, beverage, and merchandise are the sole responsibility of the guest.

* Ticket is only valid for date and venue issued for. Unless expressly written otherwise, access is general admission only and does not entitle guest to access to all areas of the venue.

* Guest must arrive by time specified on ticket for guaranteed entry. Failure to do so may result in loss of reservation and ticket will not be refunded.

* Guest is required to bring a printed copy of the scannable ticket (or a scannable ticket on their mobile device) and e-mail confirmation along with the credit card that the ticket was purchased with, in order to gain entry to the venue.

* Guest must be at least 21 years of age and present a valid government issued photo ID at the door. Copies, paper, or photographs of IDs will not be accepted. U.S. residents must bring state or federal issued ID; Non-U.S. residents must bring a valid passport or global entry card.

* Tickets are non-transferrable and may not be exchanged. LOST, STOLEN, ALTERED OR DESTROYED TICKETS WILL NOT BE REPLACED, REFUNDED OR EXCHANGED FOR ANY REASON. TICKETS HAVE NO CASH VALUE.

* DJ and events are subject to change without notice.

* All ticket sales are final and nonrefundable. Venue is not responsible for talent cancellations or closures due to inclement weather or other unavoidable events.

* Venue reserves the right to delay or deny access into venue due to capacity restrictions.

* Wynn Resorts requires appropriate and respectful interactions between our guests and employees in our resorts. In addition to our proper attire requirements, the company reserves the right to eject and/or trespass anyone exhibiting behavior, language or clothing that, at our discretion, is inconsistent with the company’s behavior standards, which can be found on our website.

Appropriate attire is required and strictly enforced.

Proper swim attire includes: No undergarments allowed for sunbathing/swimming. No see-through, risqué, or indecent clothing or swimwear. European style sunbathing is not permitted. No jeans or pants.

The following are always prohibited for day and night events: No torn, cut-off or stained clothing. No offensive prints. No tattoo or MMA inspired clothing. No work boots, chains, or baggy jeans/shorts. No athletic gear including gym shorts, sweatpants, jerseys, etc. No clothing that contains rivets, hooks, studs, etc.

Guests may not swim/sunbathe fully clothed.

For Daytime Pool Hours: Proper swimwear is required; no risqué or indecent swimwear will be allowed. Proper swimwear includes: 1 piece/2-piece bathing suits. Swim/Surf Shirts. Swim Trunks. Religious swimwear allowed as well. (ex. Burqinis.) Water shoes are allowed. Sandals/Flip Flops.

If you elect not to give consent to such searches, you may be denied entry to the event without refund or other compensation. Certain medications may be allowed but must be properly labeled, in its original container, and checked in at the door with Security. Prohibited items will be confiscated and not returned even if guest is denied access or removed from venue.

*Encore Beach Club has a Zero Tolerance Policy. All persons and bags will be searched. The following items are prohibited:

Encore Beach Club Management reserves the right to make the final decision on any items restricted from entry to ensure the safety of all guests. If you elect not to give consent to such searches, you may be denied entry to the event without refund or other compensation. Certain medications may be allowed but must be properly labeled, in its original container, and checked in at the door with Security. Prohibited items will be confiscated and not returned even if guest is denied access or removed from venue.

* Guest must comply with all venue policies and disregard or violation of such policies or these Terms and Conditions will automatically invalidate ticket(s) purchased and guest will not receive a refund of any kind and guest will be denied access to venue.

* Venue reserves all rights, including, without limitation, the right to cancel, suspend or modify the event for any reason at its sole discretion.

* This ticket is subject to all applicable federal, state, and local laws, and regulations. This ticket is property of Wynn Las Vegas® and cannot be published or posted on any third-party websites without the prior written approval of Wynn Las Vegas®.

 

CANCELLATION AND REFUND POLICY:

* Tickets are non-refundable unless proper cancellation is received by support.tixr.com or [email protected] at least 96 hours prior to 10:00 A.M. Pacific Time (‘PT’) on Reservation Date.

* Cancellations received less than 96 hours prior to 10:00 A.M. PT on Reservation Date will result in forfeiture of face value of ticket and credit card fees.

* All cancellations must be requested through support.tixr.com or by email to  [email protected]. Any attempted cancellation in a manner other than as described above shall not be considered or accepted and guest will not be entitled to a refund of any kind.

* Tickets are non-exchangeable. For events that are canceled without a rescheduled date, guest will be issued a refund on the original credit card used for the transaction. Seeking a chargeback for sales to this event may result in ticket cancellation and refusal to honor future pending sales from the credit card the chargeback was initiated on. Guest is responsible for all travel and other expenses incurred in connection with a cancelled, postponed, or rescheduled event.

TABLE RESERVATION TERMS AND CONDITIONS:

Table Minimum Spend
All table reservations will be required to meet a certain table minimum amount (the ‘Minimum Spend’), which will be communicated to the guest when the reservation is booked. The Minimum Spend does not include applicable tax, venue fees or gratuity. The amount of the Minimum Spend may differ from the amount the guest actually spends on alcoholic and non-alcoholic beverages (the ‘Actual Spend’) on the date of the reservation (the ‘Reservation Date’).

Table Advance Deposit and Processing Fee
A deposit of 20% (the ‘Advance Deposit’) of the Minimum Spend will be charged at the time of booking. In addition to the Advance Deposit, a non-refundable processing fee of $10.00 per reservation (the ‘Processing Fee’) will also be charged at the time of booking. The Advance Deposit and Processing Fee will be applied towards guest’s final bill on the Reservation Date. At time of check-in on the Reservation Date, guest will be required to present the same method of payment as used when booking online, or will be required to provide an alternative method of payment for his or her table/location.

Table Actual Spend, Tax, Venue Fee, and Gratuity
All reservations will be charged the following on the Reservation Date:
* Actual Spend: Guest will be charged the balance of the Actual Spend.
* Sales Tax: Guest will be charged sales tax, which is currently 8.375% and subject to change, on the Actual Spend.
* Venue Fee: Guest will be charged a venue fee of 12.75% of the Actual Spend.
* Gratuity: Guest will be charged a server gratuity of 15% on Actual Spend or Minimum Spend, whichever is greater.

Table Cancellation and Refund Policy:
* Advance Deposit is non-refundable unless cancellation is received by venue at least 96 hours prior to 10:00 A.M. Pacific Time (‘PT’) on Reservation Date. Cancellations received less than 96 hours prior to 10:00 A.M. PT on Reservation Date will result in forfeiture of Advance Deposit.
* Processing Fee is non-refundable under all circumstances.
* All table cancellations must be requested at http://uvtix.com/support or by email at [email protected]. * Any attempted cancellation in a manner other than as described above shall be void and guest will not be entitled to a refund of any kind.
* All guests must be at least 21 years of age with a valid government issued ID to be presented at the door. Copies or paper identification will not be accepted. Non-United States issued identification must be accompanied with valid passport to be presented at the door to gain entry into the venue.
* Table location or placement subject to change without notice.
* DJ subject to change without notice.
* Venue reserves the right to deny access into venue due to capacity restrictions.
* Disregard or violation of these Terms and Conditions will automatically invalidate reservation and guest will not receive a refund of any kind.
* Management reserves all rights, including, without limitation, the right to cancel, suspend or modify the event at its sole discretion.

APRIL 29, 2023 GRONK BEACH CLUB EVENT (the “Event”) ADDITIONAL TERMS AND CONDITIONS:

Please be advised, the purchase and/or use of a ticket to or table reservation at, and/or entry into, the Event shall constitute the purchaser’s and/or user’s (referred to herein as “You” or “Your”) unconditional acceptance to be bound by any and all of the terms and conditions contained within these terms and conditions (this “Agreement”) between You and Medium Rare Live, LLC (the “Company”) and Wynn Las Vegas, LLC to attend all or part of the Event.

ARTICLE 1: YOUR ADMISSION

  1. You understand, acknowledge, and agree that the names of any artist, act or performer contained in any Event promotional material is intended for informational purposes only, and does not, in any way, represent the importance or headline status of any single artist, act or performer, and is subject to change without prior notice.
  2. To ensure that Your ticket or table to the Event purchased online is valid, purchase Your ticket or table from wynnsocial.com or www.tixr.com. Tickets or table reservations from unauthorized sales channels (e.g., scalpers) may be forged. In no event will forged tickets or table reservations be honored or eligible for a refund.
  3. Company is offering one hundred (100) free tickets to the Event through its Event website that are available only to active duty U.S. military personnel, members of the U.S. military reserves, or veterans. If You have a ticket that was obtained through such offer, Company may require you to present a Military Identification Card upon Your entrance to the Event in order to affirm such eligibility. To the extent You cannot present such identification as requested by Company to satisfactorily affirm Your military service status, You may be denied entry to the Event in connection with such free ticket, and You shall not be entitled to any other compensation for such ticket, nor will the Company or Wynn Las Vegas, LLC be liable for any other damages, including, but not limited to incidental or consequential damages.

ARTICLE 2: RECORDINGS

  1. By attending the Event, You understand, agree and acknowledge that (i) You may be photographed and filmed, and (ii) You hereby provide the Company and Wynn Las Vegas, LLC with Your absolute, express consent to be photographed and filmed. You further understand and agree that these images and/or recordings can be registered, stored, transmitted, broadcast/streamed, rebroadcast, and sold for archival, promotional, and/or commercial purposes, in any manner, and in any media, now known or hereafter discovered, without any compensation to You. Your name, image and/or Your likeness may be captured as part of and/or used in connection with any broadcast/stream, audio, visual, or audio-visual recording, photograph, or other reproduction or other publication of the Event (the “Footage”) and may also be used by or on behalf of the Company, and Wynn Las Vegas, LLC or any of their respective parent entities, subsidiaries, affiliates, partners, sponsors, officers, shareholders, successors, licenses or assigns for any purpose, including, but not limited to, archival, promotional, and commercial purposes, without any compensation to You.  You waive all other rights in and to the Footage, including, but not limited to, all claims of so-called moral rights.  This Footage may be used as a means to identify and facilitate the prosecution of illegal or impermissible conduct.
  2. At the Event, there will be camera surveillance for the purpose of ensuring the safety and proper operation of the Event. The Footage may be registered or stored by Wynn Las Vegas, LLC or governmental authorities for the purpose of ensuring the security and safety of Event attendees and the enforcement of and compliance with the safety regulations on the Event site.
  3. Any recordings made by ticketholders on or near the Event site may not be used for commercial or public purposes, unless consented to by the Company (including, without limitation, having ads run on or beside such videos on YouTube and other video sharing websites).

ARTICLE 3: LIMITATION OF LIABILITY

You understand that in all instances, the maximum remedy You may receive for any cancellation of any part of the Event, if any, will be the face value of Your ticket or table, excluding all fees and/or service charges paid by You in connection with the purchase of Your ticket or table to the Event.

ARTICLE 4: ASSUMPTION OF RISK

  1. By entering the Event, You assume any and all risk and/or danger, known and unknown, foreseeable and unforeseeable, resulting from, or incidental to, the Event, whether occurring prior to, during, or subsequent to, the Event, including, but not limited to, any death, personal injury or loss, damage or liability whatsoever. You understand that Your use of Your ticket or table reservation is contingent upon Your voluntary assumption of the risk and danger that may result from, or be incidental to, Your presence at the Event, whether occurring prior to, during or after the Event, including, but not limited to, any actions or omissions of the Company Parties (as defined below).
  2. You recognize and acknowledge that there are hazards and risks of physical injury or illness and that not all such risks can be fully eliminated. By entering the Event site, You voluntarily agree to assume the full risk of death, bodily injury or property damage, regardless of severity, that may sustain as a result of attendance at the Event or while on the premises, except to the extent caused by the gross negligence or willful misconduct of the Company Parties (as defined below).

ARTICLE 5: UNAUTHORIZED SALE OR USE OF TICKET

  1. Anyone caught forging entry tickets or any other special admission tickets in order to access or sell such tickets to the Event will be prosecuted without exception. Counterfeit tickets will not be honored or refunded by the Company or Wynn Las Vegas, LLC and Your purchase of such ticket(s) is not binding on the Company or Wynn Las Vegas, LLC whatsoever.
  2. Anyone caught tampering with or sharing their ticket will be immediately ejected and banned from the Event.
  3. Tickets may not be resold without prior explicit permission from the Company or Wynn Las Vegas, LLC. Tickets which appear to have been resold without permission from the Company or Wynn Las Vegas, LLC will not be honored or subject to a refund.
  4. The resale, attempted resale, or purchase of Your ticket or table reservation at a price higher than the official purchase price from the authorized ticket agent Tixr and Wynn Las Vegas, LLC, is grounds for seizure and cancellation of Your ticket and/or table reservation without compensation. The only valid tickets or table reservations are those purchased through Tixr.com or other authorized sale channels listed on www.wynnsocial.com or at the Encore Beach Club venue the day of the Event.
  5. Tickets and table reservations may not be used in association with any giveaway, sweepstakes, contest or similar activities, including, but not limited to, as a prize or incentive. Any ticket so used will automatically become void at the Company and/or Wynn Las Vegas, LLC’s sole discretion with no refund to You and/or the ticketholder.

ARTICLE 6:  INDEMNIFICATION:

  1. You hereby indemnify and hold harmless the Medium Rare Live, LLC; Rob Gronkowski, Gronk Endorsements, LLC, Wynn Las Vegas, LLC , their respective parents, affiliates, and subsidiary companies, and each of their respective representatives, officers, directors, owners, members, trustees, agents, employees, successors, licenses and assigns; TIXR, and any other designated ticketing agent; Event sponsors/promoters, and the performing artists, including, but not limited to, their respective management, their agents, their staff and their designees (collectively, the “Company Parties”) from any loss, liability, damage or cost in any way arising out of, or related to, Your actions and omissions at, around, or while traveling to and from, the Event.
  2. You hereby waive, discharge, hold harmless and covenant not to sue the Company Parties from any and all liability arising out of, or in connection with, the Event, for any claims, causes of action, obligations, lawsuits, charges, complaints, controversies, damages, costs or experiences of whatsoever kind, nature, or description, whether direct or indirect, in law or in equity, in contract or in tort, or otherwise, whether known or unknown, arising out of, or related to, the Event, Your attendance at the Event, or Your travel to and from the Event, except to the extent caused by the gross negligence or willful misconduct of the Company Parties.
  3. IN NO EVENT WILL THE COMPANY PARTIES OR THEIR SUPPLIERS, ADVERTISERS AND SPONSORS, BE RESPONSIBLE OR LIABLE TO YOU OR ANYONE ELSE FOR, AND YOU HEREBY KNOWINGLY AND EXPRESSLY WAIVE ALL RIGHTS TO SEEK, DIRECT, INDIRECT, EXEMPLARY, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES OR LOST PROFITS, REVENUES OR BUSINESS OPPORTUNITIES, OR OTHER DAMAGES OF ANY TYPE, AND ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED, ARISING OUT OF, OR IN CONNECTION WITH, THE EVENT OR ANY PRODUCT OR SERVICE PURCHASED AT THE EVENT, EVEN IF THE COMPANY PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF WHETHER THE CLAIM IS BASED UPON ANY CONTRACT, TORT, OR OTHER LEGAL OR EQUITABLE THEORY. WITHOUT LIMITING THE FOREGOING, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT THE COMPANY PARTIES WILL HAVE NO LIABILITY OR RESPONSIBILITY WHATSOEVER FOR (a) ANY FAILURE OF ANOTHER ATTENDEE OF THE EVENT TO CONFORM TO THESE RULES, (b) PERSONAL INJURY OR PROPERTY DAMAGE OF ANY NATURE WHATSOEVER, WHETHER ARISING IN CONTRACT OR IN TORT, RESULTING FROM YOUR ATTENDANCE AT THE EVENT, (c) ANY ERRORS, MISTAKES, INACCURACIES OR OMISSIONS IN ANY CONTENT, OR (d) ANY LOST, STOLEN OR DAMAGED TICKETS, OR FAILURE OF EVENT STAFF OR SECURITY TO HONOR YOUR TICKET. YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE EVENT IS TO LEAVE THE EVENT. THE LIMITATIONS IN THIS ARTICLE 6 WILL APPLY EVEN IF ANY LIMITED REMEDY FAILS ITS ESSENTIAL PURPOSE. THE ALLOCATION OF RISK BETWEEN US IS AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN US.  SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF DAMAGES, SO THESE MAY NOT APPLY TO YOU. IN SUCH CASES, THE COMPANY PARTIES’ LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE BY YOU.

ARTICLE 7: MISCELLANEOUS:

  1. These terms shall be governed by and construed under the laws of the State of Nevada, without regard to conflicts of law. Any controversy or claim arising out of or relating to these terms shall be brought only in the state courts empowered to enforce this Agreement located in Clark County, Nevada or the federal courts located in Clark County, Nevada, as applicable, unless otherwise specified.  The parties hereto specifically consent to personal jurisdiction of said courts, and hereby waive any objection thereto on the basis of personal jurisdiction or venue. Each of the parties also agrees that any final and non-appealable judgement against a party in connection with any action, suit or other proceeding may be enforced in any court of competent jurisdiction, either within or outside of the United States. YOU HEREBY ACKNOWLEDGE AND AGREE THAT ANY DISPUTE IS LIKELY TO INVOLVE COMPLICATED AND DIFFICULT ISSUES, AND THEREFORE, YOU KNOWINGLY, VOLUNTARILY, INTENTIONALLY, IRREVOCABLY AND UNCONDITIONALLY WAIVE ANY RIGHT YOU MAY HAVE TO A TRIAL BY JURY IN RESPECT OF ANY DISPUTE OR CONFLICT IN CONNECTION WITH THIS AGREEMENT.
  2. You understand that the Company Parties and all other related parties, including, but not limited to, each of the Company Parties and the related parties’ management, employees, and agents, will not be held responsible, financially or otherwise, for any items that are left, lost, stolen, destroyed, confiscated, damaged or misplaced anywhere at the Event site regardless of fault or reason, so act accordingly. Any and all losses incurred by You under this Section 2 shall be subject to Article 7, Section 1, above. The Company and Wynn Las Vegas, LLC recommends that You do not bring any valuables to the Event.
  1. EXCEPT AS EXPLICITLY OTHERWISE PROVIDED HEREIN, YOU UNCONDITIONALLY UNDERSTAND AND ACKNOWLEDGE THAT ALL TICKET SALES ARE FINAL. THERE WILL BE NO TICKET REFUNDS AND/OR TICKET EXCHANGES. THE EVENT IS A RAIN OR SHINE EVENT. BY ACKNOWLEDGING AND AGREEING THAT THE TICKETS BEING PURCHASED HEREUNDER ARE ENTIRELY NON-REFUNDABLE, YOU, WITH THE INTENTION OF BEING FULLY BOUND BY THESE TERMS, AGREE NOT TO INITIATE A CHARGEBACK or undertake any similar action(s) that operates, in any way, to dispute, cancel or reverse any portion of a prior transaction and Your Ticket transaction(s) if such action is in contravention of either the terms, conditions or spirit of this Agreement or if the basis for such action relates to an Event being delayed, cancelled, rescheduled (whether in whole or in part) and/or for any reason, including reasons relating to a Force Majeure Event, governmental action, unforeseen events, inclement weather, production issues, or otherwise (“Chargeback(s)”). You acknowledge and agree that by entering into this Agreement, You are voluntarily and knowingly agreeing to give up certain of Your legal rights relating to Your entitlement to Chargebacks or to Chargeback protections. The foregoing shall apply even if Your Chargeback protection periods have not expired and/or even if You have other legal rights available to You respecting Chargebacks.
  1. EVENT FORMAT; “AS-IS”. COMPANY GRANTS THIS LICENSE TO BEARER TO ENTER THE VENUE ON AN “AS IS” AND ON AN “AS AVAILABLE” BASIS. COMPANY OFFERS NO WARRANTIES OR GUARANTEES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, WITH RESPECT TO THE AVAILABILITY OF TICKETS, THE PURCHASE OF TICKETS, THE EVENT, THE VENUE, OR THE ARTISTS. COMPANY MAKES NO REPRESENTATIONS OR WARRANTIES OR GUARANTEES RESPECTING THE AVAILABILITY OF POTENTIAL SEATING, SITE CONFIGURATIONS, FOOD, BEVERAGE AND/OR MERCHANDISE CHOICES OR AVAILABITY, VIEWING CAPACITY, FORMAT, SITE CONFIGURATION, PRODUCTION QUALITY AND/OR OVERALL PRODUCTION EXPERIENCE. IF YOU DO NOT AGREE WITH OR DO NOT INTEND TO BE BOUND BY THESE TERMS, DO NOT PURCHASE A TICKET, DO NOT REGISTER FOR OR UTILIZE COMPANY’S SERVICES AND OR DO NOT ENTER THE VENUE OR ATTEND THE EVENT.
  1. PLEASE READ THIS AGREEMENT CAREFULLY AND IN ITS ENTIRETY. THIS AGREEMENT, WHICH IS A LEGALLY BINDING DOCUMENT, INCLUDES, AMONG ITS OTHER TERMS, RESTRICTIONS, LIMITATIONS AND CONDITIONS (INCLUDING LIMITATIONS ON LIABILITY), ASSUMPTIONS OF RISK, AND A NO REFUND POLICY (AND OTHER RELATED RESTRICTIONS). BY ENTERING INTO THIS AGREEMENT, YOU ACKNOWLEDGE THAT YOU ARE FREELY AND VOLUNTARILY GIVING UP IMPORTANT LEGAL RIGHTS. IF YOU DO NOT AGREE WITH ANY OF THE TERMS, WAIVERS, LIMITATIONS, RESTRICTIONS AND/OR OTHER CONDITIONS AS SET FORTH IN THIS AGREEMENT, OR IF YOU DO NOT AGREE WITH, OR AGREE TO ASSUME THE RISK(S) TO YOU AS SET FORTH IN THIS AGREEMENT OR DO NOT AGREE WITH OR DO NOT INTEND TO BE BOUND BY THESE TERMS, DO NOT PURCHASE A TICKET, DO NOT REGISTER FOR OR UTILIZE COMPANY’S SERVICES AND/OR DO NOT ENTER THE VENUE OR ATTEND THE EVENT.
